Service Agreement

The fine print.
This Catering Contract (“Contract”) is made and entered into on January 9th, 2025, 12:11 am (“Effective Date”), by and between (the “Client’”), located at  and   (“Caterer,” and collectively with Client, the “Parties”). NOW THEREFORE, in consideration of the mutual covenants and promises hereinafter set forth, the Parties hereto agree as follows: 1. Term Client and Caterer agree that this Contract between the Parties is for personal chef and catering services that shall commence on , and such services shall continue until no later than 12:01am  [/u]. 2. Services Provided Client hereby agrees to engage the Caterer to provide Client with the following services (“Services”): a. Prepare the meal to the standard to be expected. b. Clean up the kitchen and other preparation areas to a reasonable standard. c. Pack up all personal equipment and have clean kitchen before leaving at 12:01am. Prepared food will be packaged and left behind post Caterer leaving. 3. Event Details The “Event” is the following: a. The Event shall take place on . b. The Event will be located at  . c. The prices quoted in this Contract and the amount of food prepared and any other necessary preparations are made based on an estimate of GUEST COUNT people in attendance at the Event. 4. Menu to be Served Caterer reserves the right to make small changes to the Menu only if key ingredients are unable to be sourced due to reasons beyond the control of both parties. In any case, Caterer shall provide notice of any such proposed small changes to Client in advance of the Event, and Client has the right to request modification to such small change to the extent not an increase to cost. 5. Payment In exchange for the Services, Client shall pay to Caterer $(“Payment”). $300 of the Payment shall be owed to Caterer day of the Effective Date (“Retainer”) and the remainder of the Payment shall be owed to the Caterer three (3) days prior to the day of the Event.  Failure to pay on time without agreement with service provider constitutes in a cancelled project and forfeiture of retainer.  In the event of a failed payment the decision to honor this document is at the sole discretion of the service provider. 6. Independent Contractor It is agreed that Caterer shall perform the Services as an independent contractor. The Caterer shall maintain his or her own independent business and shall use his or her own tools and equipment. 7. Cancellation In the case of Client cancellation of the Event, Caterer is entitled to liquidated damages equal to the Retainer. If Caterer cancels prior to the Event, Client is entitled to the cost of replacing Caterer for the Services plus 20% of such cost.  The Parties agree that this cost shall be calculated as the sum of the Retainer ($300) plus 20%,  for a total equal to $360. If Caterer anticipates cancelling before the date of the Event, Caterer may propose a substantially similar replacement to him, which such replacement must be approved in Client’s sole discretion. If Client approves such replacement, Caterer shall only owe Client the return of the Retainer. Covid-19 Related Cancelation In the event of a Covid-19 related need for cancelation within two weeks of the event, all fees are waived by either party if accompanied with official documentation and government identification of the affected party. 8. Insurance and Indemnification Client agrees to indemnify Caterer for any damage to, theft or loss of Caterer’s property (including without limitation, equipment, plates, utensils and motor vehicle) occurring at the event that is caused by guests attending the event. Caterer shall procure and maintain in full force and effect during the term of this Contract a general liability insurance policy. Caterer shall be liable to Client for any damage to, theft or loss of Client’s property or the property of the Event caused by the Caterer. 9. Rules and Regulations Caterer shall work in compliance with all applicable state and local health department rules and regulations with regard to hygienic preparation and service of food. 10. Assignment This Contract shall not be assignable by either Party without the written consent of the other Party. 11. Entire Contract This Contract constitutes the entire contract of the Parties with respect to the subject matter, and supersedes any and all other agreements, understandings, statements or representations, either oral or in writing. 12. Applicable Law This Contract shall be construed under and in accordance with the laws of the State of Minnesota. 13. Attorney Fees If either party institutes suit or action against the other to enforce this contract or seek damages with respect to default of obligations hereunder, the Party ruled in favor shall be entitled to recover all reasonable costs and attorney’s fees.
